Your continued use of the Service after any changes constitutes acceptance of the revised Terms.

Foundry AI is an AI-powered business idea generator that helps entrepreneurs, founders, and business professionals discover and explore new business opportunities. The Service uses artificial intelligence models to generate structured business ideas across multiple industry categories, including AI Agents, SaaS, FinTech, HealthTech, EdTech, E-Commerce, Green Tech, and Creator Economy. The Service is accessible at foundry.joombricks.com.

3. Account Registration

To use certain features of the Service, you must create an account through our authentication provider, Clerk. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to provide accurate and complete information during registration and to keep your account information up to date. You must notify us immediately of any unauthorized use of your account.

4. Subscription Plans and Billing

The Service offers the following subscription plans:

Paid subscriptions are billed on a monthly recurring basis. You authorize us to charge the payment method on file for all applicable fees. All fees are non-refundable unless otherwise required by applicable law. We reserve the right to modify pricing with reasonable advance notice. Subscription changes take effect at the start of the next billing cycle.

5. Intellectual Property

You retain full ownership of any business ideas generated through your use of the Service. Joombricks LLC makes no claim of ownership over the content produced for you by the AI. The Service itself, including its design, code, branding, logos, and underlying technology, remains the exclusive property of Joombricks LLC. You may not copy, modify, distribute, or reverse-engineer any part of the Service without our prior written consent.

6. AI-Generated Content Disclaimer

All business ideas, market analyses, and related content generated by the Service are produced by artificial intelligence models and are provided as suggestions only. They do not constitute business advice, financial advice, legal advice, or any other form of professional counsel. AI-generated content may contain inaccuracies, outdated information, or speculative projections. You acknowledge that success in business depends on numerous factors beyond the scope of any generated idea, and that no guarantee of profitability, viability, or market success is made or implied. You are solely responsible for conducting your own due diligence before acting on any information provided by the Service.

7. Acceptable Use

You agree not to use the Service to:

• Violate any applicable law, regulation, or third-party rights
• Attempt to gain unauthorized access to the Service or its systems

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, JOOMBRICKS LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE. OUR TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE AMOUNT YOU HAVE PAID US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM. THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED.

9. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. You may terminate your account at any time by canceling your subscription and ceasing use of the Service. Upon termination, your right to use the Service will immediately cease. Any provisions of these Terms that by their nature should survive termination shall remain in effect, including but not limited to intellectual property provisions, disclaimers, and limitations of liability.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts located in the State of Delaware.
